Terms of Service

Agreement

These Terms form an agreement between you and ABVentures SAS, publisher of Layerz. By creating an account, using the service or starting a paid subscription, you agree to these Terms and to the Privacy Policy. If you accept them for a company or a client, you confirm you are allowed to bind it.

The service

Layerz is a workspace for financial models that AI agents build and people review. It stores and computes your models, keeps their version history, imports files (Excel, FEC, CSV) and data from the services you connect, exports to Excel and JSON, and exposes your models to the AI agent you connect (Claude, ChatGPT, Le Chat, Codex or any other MCP client) over MCP or the API.

Accounts, workspaces and sharing

• You are responsible for the accuracy of your account information and for all activity under your account.
• You must protect your sign-in, API keys and agent connections, and revoke any key or connection that may be compromised.
• A workspace owner decides who joins the workspace, with which role, and is responsible for the members and collaborators they invite.
• A model shared by link can be opened by anyone who has that link, at the access level you set. You can change or revoke it at any time.

Plans and billing

The Individual plan is free with no time limit. The Team plan is billed per editor seat, monthly, through Stripe, and renews automatically until you cancel it from the billing portal; cancellation takes effect at the end of the current period. Prices are shown excluding tax on the pricing page and at checkout, in the currency of your country.

Adding an editor seat updates the subscription; the change is shown before you confirm it. Plan limits (editors, workspaces, version history window, fair use of the API and MCP server) are those shown on the pricing page. If they change for a paid plan, we tell you in advance.

The Team plan and done-for-you services are reserved for professionals: companies, firms and independents acting for their business. By subscribing, you confirm you act in that capacity. A consumer using the free Individual plan keeps every right granted by applicable law.

Done-for-you services

ABVentures SAS can also build models or run a monthly reporting cycle for you on Layerz. Scope, fees and timing are set in a separate quote, which prevails over these Terms for those services. They are management reporting and modeling services, not bookkeeping, statutory accounts, audit or tax filing, and you remain responsible for the decisions made from the deliverables.

Financial modeling responsibility

Layerz is not a regulated financial, investment, credit, accounting, tax, legal, audit or valuation adviser. You remain responsible for assumptions, source data, formulas, outputs, exports, reports and decisions made from them.

You must review all models and Excel exports before using them for fundraising, lending, investment, reporting, board, tax, accounting or operational decisions.

AI agents and AI processing

• Layerz is not an AI provider. It stores and serves your models and exposes them to the AI agent you choose to connect (Claude, ChatGPT, Le Chat, Codex or any other MCP client).
• AI processing happens under your own AI account, governed by your agreement with that AI provider. Layerz does not run AI on your data on your behalf, does not send your model content to AI providers, and does not train any AI model on your data.
• Changes made through a connected AI agent may be inaccurate, incomplete or unsuitable for your use case. They are recorded in the version history, remain editable and can be undone.
• You must not use the service as the sole basis for decisions affecting individuals, including credit, lending, insurance, employment or access to essential services, and you must not use it for prohibited practices under applicable AI regulation.

Connected services

When you connect a service such as Pennylane, Qonto, Stripe, Airtable or Metabase, you authorize Layerz to read the data you select from it, with the access you grant, to feed your models. That service's own terms apply to your use of it. You can disconnect it at any time. We are not responsible for the availability or accuracy of the data a third-party service provides.

Your content

You keep ownership of your models, uploaded files, imported data, formulas, templates and exports, and you can export them at any time. You grant ABVentures SAS the rights needed to host, process, secure, display, modify and export that content to provide Layerz, and nothing more.

Acceptable use

• Do not upload content or connect data you do not have the right to use, including a client’s data without their authorization.
• Do not attempt to bypass security, rate limits, access controls, plan limits or billing.
• Do not reverse engineer, scrape, resell or misuse the service.
• Do not use the service for unlawful, harmful, deceptive or regulated decision-making without your own required controls.

Availability, suspension and termination

ABVentures SAS may update, suspend or restrict the service to protect users, comply with law, prevent abuse, address non-payment or fix security and reliability issues. You may stop using the service at any time and ask us to delete your account. Export your models first: once deleted, they cannot be recovered.

Warranty

We work to keep the service available, secure and accurate, but to the maximum extent allowed by law it is provided "as is" and "as available", without any warranty that it will be uninterrupted, error-free or fit for a particular purpose.

Liability

To the maximum extent allowed by law, indirect losses, loss of profit, loss of opportunity, business interruption, financing failure, investment loss, data reconstruction costs and consequential damages are excluded. For business users, our total liability is capped at the amounts paid for the service during the 12 months before the event giving rise to the claim.

Nothing in these Terms limits liability that cannot be limited by law, such as liability for gross negligence or wilful misconduct, or excludes rights that cannot be excluded, including the consumer guarantees of the Australian Consumer Law and the statutory rights of consumers in the European Union and the United Kingdom.

Changes to these Terms

We may update these Terms as the service evolves. The date above shows the latest version. When a change materially affects you, we tell you in the app before it applies and ask you to accept it.

Governing law

These Terms are governed by French law. For business users, the courts of Paris have jurisdiction. Mandatory consumer protections and competent consumer jurisdictions remain unaffected where applicable.
