Terms of Service

Agreement

These Terms form an agreement between you and ABVentures SAS, operator of Layerz. By creating an account, using the service or starting a paid subscription, you agree to these Terms and to the Privacy Policy.

Accounts and access

• You are responsible for the accuracy of account information and for all activity under your account.
• You must protect authentication credentials and API keys, and revoke any key that may be compromised.
• You are responsible for collaborators invited to your models and for the permissions you grant them.

Subscriptions and billing

Layerz may offer free and paid plans. Paid subscriptions are processed by Stripe and may renew automatically unless cancelled before renewal. Prices, taxes, plan limits and billing intervals are shown before checkout.

Consumers keep all mandatory rights granted by applicable law. Business users accept that the service is supplied for professional use unless mandatory law provides otherwise.

Financial modeling responsibility

Layerz is not a regulated financial, investment, credit, accounting, tax, legal, audit or valuation adviser. You remain responsible for assumptions, source data, formulas, outputs, exports, reports and decisions made from them.

You must review all models and Excel exports before using them for fundraising, lending, investment, reporting, board, tax, accounting or operational decisions.

AI features

• AI-generated models, formulas, explanations and scenarios may be inaccurate, incomplete or unsuitable for your use case.
• AI features assist with modeling and simulation; they do not make decisions for you.
• You must not use the service as the sole basis for decisions affecting individuals, including credit, lending, insurance, employment or access to essential services.
• You must not use the service for prohibited practices under applicable AI regulation.

Your content

You keep ownership of your models, prompts, uploaded files, imported data, formulas and exports. You grant ABVentures SAS the rights needed to host, process, secure, display, modify and export that content to provide Layerz.

Acceptable use

• Do not upload content you do not have the right to use.
• Do not attempt to bypass security, rate limits, access controls or billing.
• Do not reverse engineer, scrape, resell or misuse the service.
• Do not use the service for unlawful, harmful, deceptive or regulated decision-making without your own required controls.

Availability, suspension and termination

ABVentures SAS may update, suspend or restrict the service to protect users, comply with law, prevent abuse, address non-payment or fix security and reliability issues. You may stop using the service and cancel paid subscriptions through the available billing flow.

Liability

To the maximum extent allowed by law, indirect losses, loss of profit, loss of opportunity, business interruption, financing failure, investment loss, data reconstruction costs and consequential damages are excluded. For business users, total liability is capped at the amounts paid for the service during the recent period defined in the final counsel-reviewed terms.

Governing law

These Terms are governed by French law. Mandatory consumer protections and competent consumer jurisdictions remain unaffected where applicable.
